Personio has acquired Circula, according to Finextra, and Circula's own press page lists the deal under 6 October 2026. Finextra's summary calls Circula one of Europe's largest spend-management platforms; that is the outlet's characterisation, not a figure we could check. Neither source disclosed a price. The notable fact is the starting position: Personio was already a Circula shareholder, so this is a buy-up of a known partner.

An existing investor takes control

Circula's press page lists Personio among the backers of the roughly €12 million funding round announced in January 2022, and CB Insights records that round as a Series A dated 24 January 2022, with Personio's stake as a minority investment. Circula's page also names Capnamic and Main Incubator among earlier backers. The acquisition therefore converts a minority position into ownership; the terms of that conversion have not been disclosed.

Why employee data is the real asset

Spend controls depend on who an employee is: role, team, manager and cost centre. Circula's integration page describes a Personio connection that synchronises employee data into its expense product, so the data link already existed. Owning the spend layer lets an HR vendor keep that loop inside one platform. This is our analysis of the mechanism; neither company has published a rationale in the origins we reviewed.

The card layer is the part to scrutinise

Circula's press page says it launched a fully digital corporate credit card in January 2024, and lists a partnership with pliant. Card programmes sit inside an issuer's regulatory perimeter, so who issues and who bears programme risk after a change of control matters more than the software. No source we read describes how the issuing arrangement or its partners change under Personio's ownership.

What to watch next

Three disclosures would settle most open points: the purchase price and funding source, whether Circula continues as a standalone product for customers outside Personio, and any change to card-issuing partners. Customers should ask for written confirmation of data-processing terms and card continuity. One acquisition does not establish a trend of HR vendors buying spend tools; further deals would.
